This is a unique two-part foundational course in technology contracting. In Part 1, we will discuss the basics of technology-related agreements (e.g., software licenses, cloud services, development agreements, etc.). Specific contract provisions will be covered, and many real-world examples offered to highlight key points. In Part 2, we will apply the learnings from Part 1 to an actual vendor contract, including the steps for reviewing the contract, how to prepare a thoughtful redline, developing a clause-bank, etc. No prior experience with these types of contracts is required.

Michael Overly is a partner in Foley & Lardner’s Information Technology & Outsourcing Group and Privacy, Security and Information Management Groups.
