Program Summary

Focusing on in-house corporate counsel, this course seeks to educate counsel on how contract terms can be used as risk management tools. The course will review key contract interpretation principles, differentiate between commercial terms, risk management terms and dispute resolution terms and then use a scenario-based method to explore various types of risk transfer provisions, liquidated damages provisions, attorney fee provisions, ADR provisions, and punitive damage provisions.

Jon G. Furlow has over 30 years of experience both as a litigation partner in a large regional law firm, and as an in-house executive leading a team of lawyers and staff managing litigation and regulatory matters nationwide. Mr Furlow has also served as an Adjunct Professor at the University of Wisconsin Law School for 17 years.

In all of these roles, Mr. Furlow has regularly advised on ethics matters and presented ethics programs focused on the application of ethics rules to the in-house setting where overlapping legal and business concerns routinely arise. Mr. Furlow earned his law degree at the University of Minnesota Law School, and is a member of the Minnesota, Wisconsin and Illinois bars, as well as a variety of federal bars, including the United States Supreme Court.
