Program Summary

The U.S Securities and Exchange Commission Finalised and released its cybersecurity final rule on the 26th of July, with an effective date of the 5th September 2023. December marks the beginning of disclosure requirements for domestic registrants and foreign private issuers (FPIs). •The Form 10-K and Form 20-F disclosures will be due beginning with annual reports for fiscal years ending on or after December 15, 2023. The Form 8-K and Form 6-K disclosures will be due beginning the later of 90 days after the date of publication in the Federal Register or December 18, 2023. The purpose of this webinar is to delve into the nuances of the different standards and laws that are accessed, as well as provide meaningful insights on what materiality and reasonableness are in the context of securities laws and how they relate to disclosure requirements. Finally, we conclude with risk mitigation suggestions and moving "left of bang."
